Charter
Purpose: The purpose of the National Energy Compliance Forum (“NECF”) is to facilitate the exchange among energy compliance professionals of ideas about compliance with the range of laws, rules and regulations that are particular to owners of electric transmission and generation facilities. It is expected that NECF’s primary area of focus will be FERC regulation. Related topics may be considered as deemed appropriate by the membership.
Membership: Membership is open to entities that own or operate transmission or generation facilities and their affiliates and subsidiaries. As a condition of membership, each member must execute any documentation related to confidentiality and other matters related to conduct deemed necessary or appropriate by the Steering Committee. Membership is free of cost and NECF shall not charge members to attend meetings. Members shall vote on a one-corporate family member, one-vote basis on whether to approve (i) amendments to the charter and (ii) new Steering Committee members. Members are encouraged to actively participate in the activities of NECF. Members may invite others (such as outside attorneys, consultants or employees of trade associations) to attend individual meetings as guests or may nominate them for membership. Guest invitations must be reported to the Chairperson of the Steering Committee at least two weeks before a meeting. The Steering Committee will vote to approve new members.
Governance: NECF will be led by a Steering Committee. The Steering Committee shall be composed of at least 5 members but not more than 15 members.
• Steering Committee: Steering Committee members shall serve a 3-year term unless any such member resigns earlier. Steering Committee members shall (a) create agendas for meetings, (b) solicit potential new members, (c) address membership questions or concerns, (d) develop confidentiality and related policies, including revisions thereto, and (e) take any other actions in furtherance of the purpose of the NECF. At the first meeting each year, the Steering Committee will request nominations for new Steering Committee members. The current Steering Committee members shall vote on such nominations. A Chairperson and a Vice-Chairperson shall be elected each year by a majority of the members of the Steering Committee after the new Steering Committee members have been elected for such year. The Steering Committee may form subcommittees for various purposes and may delegate tasks to such subcommittees.
• Chairperson: The Chairperson shall serve a 1-year term. The Chairperson shall conduct meetings of the Steering Committee, communicate announcements of meetings of the organization to members, and undertake other duties as appropriate.
• Vice-Chairperson: The Vice-Chairperson shall serve a 1-year term as Chairperson-elect and will assume the role of Chairperson the following year. If there is no ViceChairperson or the Vice-Chairperson chooses to resign, the Steering Committee shall elect a Chairperson by majority vote of the members of the Steering Committee.
Meetings: It is the intention to hold up to three meetings per year. Each meeting will be hosted by a member. The Steering Committee will make reasonable efforts to secure meeting locations in different geographic areas in the country to maximize participation by members.
